Terms of Use

Important security restriction. The Service is not accredited, assured, approved or intended for classified, protectively marked, export-controlled, or otherwise restricted information. Do not upload, enter, store, transmit or process such information in the Service.

These Terms of Use (Terms) govern access to and use of the KIND Deliverables Tracker (Service), operated under the KIND name (we, us or our). By creating an account, accessing the Service, or using it on behalf of an organisation, you agree to these Terms. If you use the Service for an organisation, you confirm that you have authority to accept these Terms on its behalf.

1. The Service

The Service is a collaborative tracker for project actions, deliverables and related administrative information. It is a general-purpose software service. It is not a document-management system, configuration-management system, secure collaboration environment, safety system, or a substitute for your organisation's approved records, quality, security, engineering or information-management processes.

You remain responsible for verifying all information, maintaining authoritative project records, applying appropriate review and approval arrangements, and making all technical, commercial, safety and operational decisions. You must not rely on the Service as the sole record for any regulated, safety-related, security-sensitive or legally significant activity.

The Service is provided over public internet infrastructure and does not carry any government, defence, nuclear, security-cleared or other specialist accreditation. No statement in these Terms, the Privacy Policy, marketing material, or the Service itself should be read as a security classification, handling instruction, assurance claim, or approval to use the Service for restricted information.

You must ensure that all information entered into the Service is permitted to be held in a general-purpose commercial cloud application. In particular, you must not enter or upload:

You are solely responsible for classifying information before use, applying your organisation's handling rules, and obtaining all required approvals. If you believe restricted information has been entered, stop using the affected content and notify us promptly at the contact address below. We may remove, restrict or preserve access to content where reasonably necessary to protect the Service, users, or comply with law.

You retain ownership of the content you submit to the Service (Your Content). You grant us a limited, non-exclusive right to host, process, reproduce and transmit Your Content only as necessary to operate, secure, support and improve the Service, comply with law, and enforce these Terms.

You confirm that you have all rights, permissions and approvals needed to submit Your Content and that its use in the Service will not breach confidentiality, intellectual-property rights, data-protection obligations, export controls, security restrictions or contractual duties. You are responsible for keeping independent copies and backups of information that matters to you.

6. Data protection and privacy

Our handling of personal data is described in the Privacy Policy. Where your organisation uses the Service to process personal data for which it is the controller, your organisation is responsible for ensuring that the appropriate data-processing terms, privacy information, lawful basis and internal approvals are in place. Unless and until a separate written data-processing agreement says otherwise, you should not use the Service for personal data that requires enhanced contractual, technical or organisational measures.

7. Availability, changes and support

We may change, suspend, withdraw or restrict all or part of the Service at any time, including to maintain security, comply with law, improve the Service or investigate misuse. We do not guarantee uninterrupted, error-free or secure operation, data retention, compatibility, recovery times or a particular support response time. You should maintain proportionate contingency arrangements and not use the Service where its unavailability could create an unacceptable risk.

8. Intellectual property

We and our licensors own all rights in the Service, excluding Your Content. Subject to these Terms, we grant you a limited, personal, revocable, non-transferable right to use the Service for its intended purpose. No other rights are granted.

9. Suspension and termination

We may suspend or terminate access immediately where we reasonably believe there is a security risk, prohibited use, breach of these Terms, legal requirement, or risk of harm to us or others. You may stop using the Service at any time. On termination, your right to use the Service ends; clauses that by their nature should continue will continue, including those on intellectual property, confidentiality, liability and governing law.

10. Disclaimers and liability

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties, conditions and representations not expressly set out in these Terms, including fitness for a particular purpose, accuracy, availability, non-infringement and security. The Service does not provide legal, engineering, safety, security, quality, compliance or professional advice.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, we will not be liable for any indirect or consequential loss, loss of profit, revenue, business, goodwill, anticipated savings, data or opportunity, or for losses arising from your breach of section 3. Our total liability arising out of or in connection with the Service will not exceed the greater of GBP 100 and the amounts paid by you to us for the Service in the 12 months before the event giving rise to the claim.

11. Changes to these Terms

We may update these Terms from time to time. The current version will be published at this address with its effective date. If a change is material, we will take reasonable steps to notify active users. Continued use after the effective date means you accept the updated Terms. If you do not agree, you must stop using the Service.

12. Governing law and contact

These Terms and any non-contractual disputes are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where mandatory law provides otherwise.
